Contractual Considerations in the Era of COVID-19

The World Health Organization declared the outbreak of COVID-19 a pandemic on March 11, 2020. In response, governments across the world introduced a raft of measures, such as travel bans and business restrictions, to halt its spread. As efforts are underway to contain and stop its spread, the impact to businesses and economies across the world has become enormous.

Naturally, the range of difficulties businesses are experiencing including disruptions supply chains, travel restrictions and interruptions to workforce have implications for contractual relationships. From a legal perspective, chances are high that businesses may be forced into situations where they cannot adhere to contractual obligations and, as a result, get exposed to legal claims for breach of contract. However, force majeure clauses and the common law doctrine of frustration may offer relief to contractual parties.
